1. Introduction

1.1 Agreement to Terms

Please carefully review these terms in full. If you do not agree to all terms, conditions, or policies outlined, you must not access or use our services.

1.2 About Peopleish

At Peopleish LLC, we specialize in providing tailored Human Resources consulting services to meet the specific needs of businesses like the Client. Our mission is to partner with you to enhance your company’s HR processes, streamline compliance efforts, and offer continuous HR support, all while ensuring that your organization runs smoothly.

1.3 Scope and Updates

These Terms of Service and therefore this Agreement apply to all services offered by Peopleish, including subscription-based and single-project services. By using or accessing our services, you acknowledge and agree to the terms outlined in this Agreement. These Terms of Service were last updated in January 2025 and supersede any prior Terms of Service.

1.4 Binding Agreement

By entering into this agreement with Peopleish LLC (“Peopleish,” “we,” “our,” or “us”), you (whether as an individual visitor, user, employee, employer, or the entity you represent) agree to be bound by the terms outlined in this Terms of Service ("Agreement"). This includes the use of our website (http://www.peopleish.net), HR consulting services, and all other related features and tools.

1.5 No Legal Advice

Nothing on our website, in our documentation, or provided in the scope of any services with Peopleish LLC, or any information, documents, or services obtained through our website or service offerings, should be in any way construed as legal advice.

2. General Terms of Service

2.1 Scope of Services

  1. Peopleish provides a range of services designed to meet the diverse needs of its clients. The specific services delivered under this Agreement will depend on the product or plan selected by the Client.

  2. Peopleish reserves the right to modify, update, or adjust the scope of deliverables at any time in response to changes in compliance requirements, industry regulations, or other operational variables.

2.2 Flexibility and Client Requests

  1. If modifications to deliverables occur that impact the scope of services initially agreed upon, clients may request equivalent services to address their needs.

  2. Requests must be submitted in writing within 30 days of being notified of the change.

2.3 Service Delivery and Communication

  1. All communication, task management, and deliverable access will occur through the Peopleish client portal for eligible subscription-based plans.

    • Task and Compliance Management: Tools for tracking compliance tasks and accessing tailored HR checklists.

    • Document Access and Collaboration: Centralized file storage, secure document sharing, and collaboration features.

    • Helpdesk Support and Billing Access: Easy access to support services and, upon request, billing details.

2.4 À La Carte and Additional Services

  1. Clients enrolled in any Peopleish product plan may request additional à la carte services outside the scope of their plan, which will be prioritized as needed.

  2. Examples include employee handbook creation, custom policy development, or specialized compliance audits.

  3. Requests will be prioritized based on resource availability and urgency.

2.5 Limitations and Acknowledgments

  1. Peopleish strives to provide customized, high-quality services tailored to client needs; however, the specific details of each product plan and modifications will be determined based on Peopleish’s professional judgment.

  2. By engaging with Peopleish, the Client acknowledges that the scope of services may evolve to address compliance, legal, or regulatory changes that may arise during the term of this Agreement.

3. Services

3.1 Application of Terms

  1. This Agreement applies to all services provided by Peopleish, including the website (http://www.peopleish.net) and any related applications, whether accessed through electronic platforms, mobile devices, or other methods.

  2. These terms are applicable to all individuals, organizations, and entities that access or use any of our services, whether in their capacity as an employer or an individual.

3.2 Modifications and Limitations

  1. Peopleish reserves the right to modify, suspend, or terminate any aspect of the services, including hours of availability, information, data, content, and communication methods, without notice or penalty.

3.3 Client Responsibilities

  1. If you are an administrator or employer, you may create and add additional users to your account. You accept full responsibility for the actions or inactions of any users you add to your account.

  2. Peopleish reserves the right to limit, restrict, suspend, or terminate your account at its sole discretion for any reason, including but not limited to:

    • Involvement in restricted activities such as gambling, sale of prohibited substances, firearms, hazardous materials, adult entertainment, virtual currency, or counterfeit products.

4. Client Portal

4.1 Features

  1. The Peopleish client portal is the primary method of communication and includes:

    • HR Roadmap

    • Task Management

    • File Storage

    • Collaboration Tools

    • Helpdesk and Billing Access

4.2 Access

  1. Clients will receive portal access within 3 business days of initiating our service, if applicable.

  2. Portal access is limited to active subscriptions. If a subscription is canceled or suspended, access will be revoked.

5. Deliverables

5.1 Client Rights

  1. The Client is granted full rights to use the custom materials, including documents, policies, and templates (“Deliverables”), created by Peopleish for internal business purposes.

5.2 Peopleish Rights

  1. Peopleish retains the right to reuse, adapt, or repurpose wording and concepts from Deliverables for other clients, provided such reuse does not disclose the Client’s identity or confidential information.

5.3 Restrictions

  1. Redistribution of Peopleish documents beyond the Client's internal use without authorization is prohibited.

  2. External consultants must comply with these terms and will have no rights over Peopleish Deliverables.

6. Payment Terms

6.1 Fees

  1. All fees are billed in U.S. currency according to Peopleish’s billing policies.

  2. Payment is due upon signing this Agreement unless other terms are agreed upon in advance.

6.2 Subscription Renewals

  1. Subscription services will renew automatically unless canceled in writing at least 30 days prior to the renewal date.

  2. Refunds are not provided for partial use of services or canceled subscriptions.

6.3 Late Payments

  1. Late payments may incur a penalty of 1.5% per month or the maximum rate allowed by law.

  2. Services paused due to non-payment will not be prorated.

7. Confidentiality

7.1 Commitment

Peopleish is committed to maintaining the confidentiality of all information shared by the Client, including HR data, employee information, and internal policies.

7.2 Exceptions

Such confidential information will not be disclosed to third parties without the Client’s consent, except when required by law.

8. Dispute Resolution

8.1 Informal Resolution

Before filing any formal claims, legal actions, or arbitration, you agree to notify Peopleish and attempt to resolve the issue amicably.

8.2 Arbitration

If unresolved within 60 days, disputes will be settled by binding arbitration governed by the Federal Arbitration Act. Arbitration will take place in Stark County, Ohio.

9. Entire Agreement

This Agreement constitutes the entire agreement between Peopleish LLC and the Client with respect to the services described herein. Any amendments must be made in writing and signed by both parties.
